I. Core Conditions for Singapore Company Registration


The most common entity form for foreign investors establishing a presence in Singapore is the Private Limited Company (Pte. Ltd.). Registration must meet the following statutory thresholds:


1. Company Name: Must be in English and end with PTE. LTD. or PRIVATE LIMITED
2. Resident Director: At least 1 locally resident director in Singapore aged 18 or above (Singapore citizen, Permanent Resident, or holder of a specific EP)
3. Shareholders: 1 to 50 natural persons or legal entities, with 100% foreign ownership permitted
4. Corporate Secretary: A locally resident licensed corporate secretary (natural person) must be appointed within 6 months of incorporation
5. Registered Address: A genuine and valid local commercial physical address in Singapore must be provided; P.O. Boxes are not permitted
6. Registered Capital: The minimum paid-up capital is only SGD 1, and the currency is not restricted (USD, RMB, etc. are supported)


II. Standardized Process for Singapore Company Registration


The Accounting and Corporate Regulatory Authority (ACRA) of Singapore fully adopts the electronic online registration system (BizFile+), and the standard incorporation period is typically completed within 1 to 3 working days.


1. Prepare Pre-Registration Materials


① Individual Shareholders/Directors: Scanned copy of valid passport, proof of residential address within the past 3 months (utility bills, credit card statements, driver's license, etc., with English translations).
② Corporate Shareholder Entities: Business license/certificate of incorporation, articles of association, latest directors and equity penetration structure chart (UBO ultimate beneficial owners traced through to natural persons).
③ Proposed Company Information: English name, business scope (select the corresponding 2 Singapore Standard Industrial Classification SSIC codes), registered capital, and equity allocation plan.


2. Submit Name Application: Submit the company's English name approval application through the BizFile+ system. Provided the name is not duplicated and does not contain sensitive words, the system usually approves it immediately, and the name reservation period is up to 120 days.


3. Sign Statutory Registration Documents: The corporate service provider issues the Constitution, Consent to Act as Director (Form 45), Consent to Act as Secretary (Form 45B), and anti-money laundering KYC due diligence documents, and all parties complete electronic or notarized signing.


4. Officially Submit to ACRA for Approval and Pay Fees: Submit the signed documents and shareholder/director information online to ACRA for approval, and pay the official registration fees at the same time.

① Obtain Company Identity Credentials: After approval, ACRA automatically issues the electronic Certificate of Incorporation and electronic Business Profile (Bizfile), including the unique Unique Entity Number (UEN).

Yes. Singapore ACRA supports fully electronic processing, and overseas investors do not need to travel to Singapore in person. After completing identity due diligence (KYC) through a compliant corporate service provider (Registered Filing Agent), name approval, document signing, and incorporation registration can be completed remotely.

Singapore law mandates at least one locally resident director. A nominee director (affiliated director) is only used to satisfy statutory administrative registration requirements and does not participate in the company's daily operations, does not hold shares, and does not have bank account signing authority or fund transfer authority. Both parties clearly define the boundaries of rights and responsibilities through a signed Nominee Director Indemnity & Agreement, legally and compliantly safeguarding the investor's funds and control rights.

Not all companies require an audit. As long as they meet the exemption standards for a “Small Company” under Singapore's Companies Act (i.e., in the past two financial years, meeting at least two of the following: annual revenue not exceeding SGD 10 million, total assets not exceeding SGD 10 million, and number of employees not exceeding 50), they may be exempt from mandatory statutory audit and only need to submit an unaudited Compilation Report.
