- Cross-border Foreign Trade Platforms
An offshore exemption application is a compliant tax solution whereby an offshore company, in accordance with the tax laws of its place of incorporation, demonstrates that its business profits are not sourced locally and applies to the local tax authority for exemption from local taxation.
Taking a Hong Kong company as an example: Hong Kong adopts the territorial tax principle, whereby only profits sourced from within Hong Kong are subject to profits tax. If all of a company's business activities, procurement, sales, and contract signing occur outside Hong Kong, the company may apply to the Hong Kong Inland Revenue Department for offshore exemption. Upon approval, such profits are not subject to Hong Kong profits tax.
Mainland enterprises establishing offshore entities to expand into overseas markets need to plan for tax costs.

To support enterprises' cross-border trade and optimize overseas tax costs.
If an offshore company does not apply for offshore exemption, once its profits are determined to be locally sourced, it will be required to pay profits tax in the corresponding jurisdiction. At the same time, tax non-compliance may trigger risks such as bank account inspections, audit anomalies, and financing obstacles.
Demand for cross-border trade tax cost optimization
Demand for overseas fund pooling and profit retention
International business expansion and establishment of offshore entity structures
Demand for cross-border business tax risk management and control
Traditional single-enterprise structures may struggle to meet the diverse demands of a company's future development.
| Comparison dimension | Offshore Company Zero Declaration | Offshore Exemption Application |
|---|---|---|
| Core use case | Can only be declared if the company has no business operations whatsoever and no bank transaction records | The company has real business operations and bank transaction records, with profits sourced outside the place of incorporation, and applies for exemption from local profits tax |
| Business Authenticity Requirements | Must have no business operations; once there are transaction records, it constitutes non-compliant declaration | Requires complete business documentation to prove that all business occurred offshore |
| Tax Effect | Only applicable to dormant companies; zero declaration with business operations carries a high risk of substantial fines | Formal approval by the tax authority, obtaining exemption approval, compliant tax exemption |
| supporting documentation | Simple declaration form | Bookkeeping and audit + business documentation organization + offshore exemption application + tax authority inquiry response |
| compliance risk | High; zero declaration with transaction records will be subject to tax authority investigation, fines, and account freezing | Low; with authentic and complete documentation, compliant tax exemption can be enjoyed upon approval |

Taking a Hong Kong company as an example, Hong Kong implements the territorial tax principle. If the company's source of profits is not in Hong Kong and all business operations are conducted outside Hong Kong, it may apply to the Hong Kong Inland Revenue Department for offshore profits tax exemption. After approval, no Hong Kong profits tax is payable. Exemption rules in other offshore regions vary.
No. A registered Hong Kong company is required by default to keep accounts and file taxes; there is no automatic tax exemption. It must prove that business profits are sourced outside Hong Kong, proactively submit an offshore exemption application, and only after the tax authority approves it can it enjoy tax exemption. Many enterprises mistakenly believe that registration means tax exemption and directly file zero returns, which is non-compliant.
Zero declaration only applies to dormant companies that have not carried out any business at all and have no bank transaction records. As long as the company has business and its bank account has incoming and outgoing transactions, it must keep accounts and undergo audit, and if conditions are met, apply for offshore exemption; it cannot file a zero declaration. If a zero declaration is filed while the company has business, the tax authority will impose heavy fines upon discovery.
① Neither suppliers nor customers are Hong Kong enterprises/individuals; ② Contract signing locations are not in Hong Kong; ③ Goods do not pass through local warehousing in Hong Kong; ④ No local office premises are set up and no employees are hired in Hong Kong; ⑤ All business decisions are made outside Hong Kong.
A full set of business vouchers, including sales contracts, purchase contracts, proforma invoices, logistics bills of lading, corporate bank transaction records, business communication email records, company structure materials, directors' business statements, etc., and an audit report issued by a certified accountant is also required.
